Acceptance of Terms

·ACCEPTANCE OF THESE TERMS OF SERVICE (THESE “TERMS”) IS A CONDITION OF YOUR ACCESS TO, PARTICIPATION IN AND USE OF CODE KID AI SERVICES (AS DEFINED BELOW).

·These Terms are a binding agreement between you and Code Kid AI. As used in these Terms, “we”, “us” and “Code Kid AI” means the applicable Code Kid AI Contracting Party (as defined below). “You” and “users” shall mean any participant in or user of Code Kid AI Services. You confirm your acceptance of these Terms each time you access or use any Code Kid AI Services. If you do not accept these Terms, you are not lawfully permitted or authorized to use or participate in Code Kid AI Services and you are not entitled to use them. To the extent there are any additional contractual documents or terms entered into by you in respect of Code Kid AI Services, these Terms shall form an integral part of such additional terms and these Terms are incorporated by reference into them.

·Your “Access Location” is the location from which you are accessing or participating in the Code Kid AI Services.
·If your Access Location is in the United States, “Code Kid AI Contracting Party” means Code Kid AI LP, a Delaware limited partnership.
·If your Access Location is outside of the United States, “Code Kid AI Contracting Party” means Code Kid AI Inc., an Ontario corporation.
·“Code Kid AI Services” means the website operated by Code Kid AI and all functionality and service offerings available from such website and/or from Code Kid AI from time to time. This includes your Code Kid AI account, any software, applications, services, programs, training, courses, events, data or content made available for free or for a fee by Code Kid AI and all ancillary related services, tools or software provided or used in connection with the foregoing including any related platform, directory or cloud-based tools or other technology to enable you to view, use or participate in them. Code Kid AI Services includes all public or private courses, workshops, programs and their content, including corporate and enterprise programs, delivered via any medium (including online and in person) originating from or provided by Code Kid AI or on its behalf, whether free or fee-based.

·To the extent permitted under applicable law, we reserve the right, in our sole discretion, to modify these Terms at any time, in whole or in part, by posting an updated version. Changes to these Terms will be effective when posted. You agree to visit this page periodically to review the most current Terms. Your continued access to or use of Code Kid AI Services shall be deemed to constitute your further acknowledgement and acceptance of the updated Terms.

·If you are under 11 years of age, you may not access or use Code Kid AI Services. By accessing or using this site and Code Kid AI Services, you represent and warrant that you are at least 11 years of age. Code Kid AI Services are not directed to persons under the age of 11.

·These Terms include Code Kid AI's Privacy Policy, which is incorporated by reference into these Terms. Personal information you provide us will be treated in accordance with the Privacy Policy.

·Code Kid AI Community Guidelines and Code Kid AI's Sexual Misconduct Policy are incorporated into these Terms. You agree to comply with those Guidelines and Policies at all times while participating in or using Code Kid AI Services. Failure to comply shall constitute material breach of these Terms and entitle Code Kid AI to terminate your use of and access to Code Kid AI Services immediately without any refund.

·If you create an account with Code Kid AI, you are responsible for the security and confidentiality of your password and log in credentials and for keeping information contained in your account accurate and up to date, including payment methods. You are responsible for any activity that results from use of your password or log in credentials.

·Some Services require payment. All prices are displayed before purchase and are subject to change. Payments are non-refundable, except where required by law or explicitly stated otherwise in writing. Subscriptions (if applicable) automatically renew unless cancelled before the renewal date. You authorize us to charge your payment method for applicable fees and taxes.

·If you enroll in one of Code Kid AI's courses, you will be subject to additional contract terms which supplement these Terms and which will be provided to you before you enroll.

·Any discounts, scholarships or promotional benefits offered by Code Kid AI have no cash value, cannot be transferred to any other party and are solely for the personal use of the recipient.

·Code Kid AI or its suppliers or licensors own all content, information and data that we create or make available to you as part of Code Kid AI Services ("Code Kid AI Content"). All Code Kid AI Content is the exclusive property of Code Kid AI or its licensors and is protected under applicable copyright, trademark and other laws.

·You are granted a limited, non-transferable, revocable license to access and use Code Kid AI Services and Code Kid AI Content for your personal, non-commercial use only, subject to these Terms.

·Code Kid AI, the Code Kid AI logo, and all related names, logos, product and service names are trademarks of Code Kid AI ("Code Kid AI Marks"). You may not use them without prior written permission.

·By creating, posting, or sharing user content on Code Kid AI Services, you grant Code Kid AI a perpetual, worldwide, royalty-free license to use such content for promotional and operational purposes, subject to applicable privacy laws.

·YOU EXPRESSLY UNDERSTAND AND AGREE THAT CODE KID AI SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND.

·TO THE FULLEST EXTENT PERMITTED BY LAW, CODE KID AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF CODE KID AI SERVICES.

·These Terms shall be governed by and construed in accordance with applicable laws based on your Access Location.

·Any dispute arising out of or relating to these Terms or Code Kid AI Services shall be resolved through binding arbitration as described herein, except where prohibited by law.

·These Terms constitute the entire agreement between you and Code Kid AI concerning your use of Code Kid AI Services. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
